A. General Proviso

Flux Labs AI Pvt Ltd. (CIN: U62099HR2024PTC121703), with registered office at M-202 Pioneer Park, Sector-61, Gurgaon-122001, Haryana, operates "Zoop" (web/mobile application) and website https://www.zooplive.com, collectively called the "Platform."

1. Legal Capacity & Age Requirements

Users must be 18+ years old, have legal capacity to bind themselves, and be Indian residents. Entity representatives confirm authority to bind their organizations.

2. Incorporated Policies

Terms include the Privacy Policy and Community Guidelines. Continued platform access indicates acceptance.

3. Amendment Rights

The Company may modify Terms via updated posting; continued use signals agreement to changes.

4. Binding Agreement

Users acknowledge they've read and understood these Terms. Non-agreement means no platform access.

B. Services

1. Platform Overview

The Company provides Zooplive.com website, "Zoop" app, and "Seller App." Users can browse, discover, and purchase products from recorded videos and livestreams. Unregistered users have limited access; registered users can make purchases.

2. Changes & Notifications

Zoop may modify Terms, Privacy Policy, Community Guidelines, or Cookie Policy anytime. Changes are communicated through Services, login notices, or email. Users may close accounts and discontinue Services.

3. Termination Rights

Zoop may change, suspend, or terminate Services with or without cause or notice. Content may be retained.

4. Facilitator Role

Zoop acts as a facilitator only. Products are sold by Vendors. Zoop is not responsible for any claim or damages related to Purchase of Products.

C. Orders

1. Order Acceptance

Order confirmations don't constitute acceptance. Vendors and Zoop reserve refusal rights.

2. Verification

Information verification may be required before order acceptance.

3. Pricing

Prices and availability are subject to change without notice.

4. Payment Agreement

By ordering, users agree to pay all charges at current prices, including shipping, handling, and applicable taxes.

D. Access to Services

1. Eligibility

Services require users be 18+ years old and lawfully capable. Parents/guardians may consent for users between 18 and the age of majority.

2. Registration

Users provide email, phone, and other information during signup. Account sharing is prohibited unless approved. Users remain responsible for account activity.

3. Updates

Zoop may substitute, modify, or upgrade Services. Users must download and accept updated versions.

4. Support

Zoop reserves the right to discontinue or modify technical support anytime.

5. Messages

Users agree to receive notices and marketing materials via email or Services.

6. Automated Processing

Services include content recommendations using user data and third-party information.

E. Payments

1. Payment Methods

The Platform accepts virtual wallets, debit/credit cards, internet banking, and other methods.

2. Payment Obligations

Users pay all purchase prices, taxes, shipping, handling, processing, and fees via specified methods.

3. Due Date

Payment is due immediately upon Purchase.

4. Payment Processor Authorization

Users authorize payment processors like Juspay/Pay-U to provide checkout and debit amounts.

5. Third-Party Agreement

Users agree to Payment Processor's Terms. Zoop is not a party to your agreements with Payment Processor.

6. Information Provision

Users must provide accurate information to Zoop and Payment Processor for payment services.

7. Financial Information Security

Users must not share payment card, bank, or financial information. Zoop disclaims liability for unauthorized disclosure damages.

8. Payment Issues

Zoop assumes no liability for losses from lack of authorization, exceeded limits, or transaction rejection.

9. Indian Rupees Only

All Platform purchases must be in Indian Rupees only.

10. Supporting Documents

Users may provide government-issued identification and address proof at delivery.

11. Transaction Processing

Zoop isn't liable for unprocessed or delayed transactions beyond its control.

F. Shipping - Risk of Loss

The Company isn't liable for damages from Vendor or carrier failure/delay in delivery. Reference the shipping, exchange, and refunds policy for details.

G. Rights and Restrictions on Use

Warnings & Disclaimers

Zoop doesn't control third-party content and disclaims any liability arising from statements on the Services.

Restrictions on Your Use

Users cannot systematically retrieve Services data, copy web pages, use robots/spiders, bypass security, provide false information, or reverse engineer the platform.

Your Representations and Warranties

Users own User Content and have all necessary rights/licenses. Content doesn't infringe third-party rights.

H. Inappropriate Content

1. Community Standards

Zoop aims for a safe, productive community for Buyers and Vendors.

2. Prohibited Content

Users cannot post inappropriate content including:

• Impersonation
• Illegal/harmful/threatening material
• Privacy violations
• Discrimination
• IP infringement
• Nudity/pornography
• Malware
• Spam
• Pyramid schemes

Violations may result in immediate permanent banning.

I. Links to Other Sites

Third-party link access is at users' risk. Zoop is not responsible for linked content, accuracy, or services.

J. Ownership of Intellectual Property

1. User Content Definition

Services allow Vendors to post videos, photos, images, text, and other materials ("User Content").

2. User Responsibility

Users are entirely responsible for their uploaded/posted User Content.

3. User Content License

Users retain copyrights but grant Zoop a non-exclusive, royalty-free, perpetual license to use User Content.

4. Vendor Marks License

Vendors grant Zoop a license to use Vendor Marks in connection with Services operation.

K. Disclaimer of Warranties

Services are provided "as is" and "as available." Zoop disclaims all warranties regarding Services and content, express, implied, or statutory.

L. Limitation of Liability

To the maximum extent permitted by applicable law, Zoop shall not be liable for any direct, indirect, incidental, special, exemplary, punitive or consequential damages arising from use of the Services.

M. Indemnity

Users defend, indemnify, and hold Zoop harmless for losses from claims based on user breach of Terms or Services misuse.

N. Choice of Law and Consent to Jurisdiction

This Agreement is governed by the laws of India. Users consent to exclusive jurisdiction of New Delhi, India courts for all disputes.

O. Termination/Cancellation

Zoop may terminate Services access anytime, with or without cause or notice.

P. YouTube API Terms

Zoop uses YouTube API Services. Users agree to YouTube Terms of Service and Google Privacy Policy. Data deletion requests to help@fluxlabs.in receive responses within 7 business days.
